All data and documentation shared with Pinnacle Pay Solutions will be handled with strict confidentiality and used solely for the purpose of performing contracted services. While we take every reasonable measure to ensure accuracy and timeliness, the Client remains responsible for providing complete and accurate financial information. Pinnacle Pay Solutions is not liable for any delays, losses, or discrepancies arising from incomplete, inaccurate, or untimely submissions by the Client. Our accuracy standard of 99.99% reflects best-effort service performance, not a guarantee of error-free results.
All fees are due as agreed upon in the service contract or invoice terms. Invoices not paid within the stated terms may incur late fees or suspension of services. All deliverables and reports remain the intellectual property of Pinnacle Pay Solutions until full payment is received. The Company shall not be held liable for indirect, incidental, or consequential damages resulting from service use. These Terms may be updated periodically without prior notice, and continued use of our services constitutes acceptance of the latest version.
To the fullest extent permitted by law, Pinnacle Pay Solutions shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services. Our total liability for any claim related to our services shall not exceed the total amount paid by the Client for the specific service that gave rise to the claim. The Client agrees to indemnify and hold harmless Pinnacle Pay Solutions, its employees, and agents from any claims, damages, or expenses arising from misuse or reliance on the provided services or reports.
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Arizona.
